app0 Terms of Service

Last updated 21 October 2026

These Terms of Service (the “Terms”) govern access to and use of app0, the agentic marketing and CRM workspace at app0.si, and the related websites, apps, agents, integrations and services we provide (together, the “Services”). The Services are provided by Yori AI Limited, a company incorporated and registered in England and Wales with company number 16594533, whose registered office is at Pure Offices, Wilton Drive, Warwick, Warwickshire, United Kingdom, CV34 6RG (“Yori AI”, “we”, “us” or “our”). app0 is a product of Yori AI and is separate from our Yori product.

By creating an account, joining a workspace, clicking to accept these Terms, adding a card at checkout, or otherwise accessing or using the Services, you agree to these Terms. If you do so on behalf of a company or other organisation, you confirm that you have authority to bind it, and “Customer”, “you” and “your” refer to that organisation. If you do not have that authority, or you do not agree to these Terms, you must not use the Services.

The Services are for business use only. You confirm that you are using them for purposes relating to your trade, business, craft or profession and not as a consumer. Everyone who uses the Services must be at least 18 years old.

These Terms, the Data Processing Addendum (the “DPA”), the Acceptable Use Policy (the “AUP”), the pricing shown at /pricing and any order form, checkout page or written order we agree with you (“Order”) together form the agreement between you and Yori AI (the “Agreement”). The Privacy Policy and the Cookie Policy explain how we handle personal data and are not part of the Agreement, except where the DPA says otherwise.

1. Definitions

In the Agreement:

  • “Agents” means the AI agents that are part of the Services, including the research agent, assistants, routines, teammates, the Builder, the meeting notetaker and the automatic steps that sort email, draft replies and write notes.
  • “AI Credit” means the prepaid balance, held in US dollars, that pays for AI Features as described in section 9.
  • “AI Features” means the parts of the Services that use artificial intelligence, including Agents, research and enrichment, proposal drafting, GEO, website reads, meeting notes and anything else that draws on AI Credit.
  • “Authorised User” means an individual you allow to sign in to your Workspace, including a person you have invited who has not yet joined.
  • “Connected Services” means third-party services that you or an Authorised User connect to the Services, including Microsoft 365, Google Workspace, applications connected through Composio, tools reached through Treg, a Firecrawl key you save, and Outside Agents.
  • “Customer Content” means Input and Output together.
  • “Input” means everything you or your Authorised Users load into, connect to or make available to the Services, including companies, contacts, deals, leads, proposals, tasks, notes, files, imports, emails, calendar events, Teams messages, meeting audio and transcripts, chat messages and the data of Connected Services.
  • “Order” has the meaning given above.
  • “Output” means the content, data, suggestions, drafts, enrichment, transcripts, notes, apps, automations and other results the Services generate for you.
  • “Outside Agent” means an AI agent or tool that is not part of the Services and that you connect to your Workspace through our MCP server using OAuth, such as Claude, ChatGPT, Cursor or Claude Code.
  • “Seat” means one Authorised User, counted as described in section 2.3.
  • “Third-Party AI Providers” means the companies that develop, host, route or serve the AI models and related infrastructure used by the Services, including our AI routing provider and the model providers listed in the DPA.
  • “Workspace” means the separate area of the Services that holds your Customer Content, settings, Authorised Users and billing.

2. Your account, Workspace and users

2.1 Accounts

Each Authorised User needs their own account. Accounts are personal and must not be shared. You are responsible for everything done through your Authorised Users’ accounts, whether or not you authorised it, unless it was caused by our breach of the Agreement. You must keep sign-in details secure, use any single sign-on your Workspace requires, and tell us promptly at legal@askyori.ai if you suspect unauthorised access.

2.2 Administrators

Workspace owners and admins can invite and remove Authorised Users, change roles, manage billing, connect services, set approval rules for Agents, turn features and apps on and off, and see the settings, usage and costs of the Workspace. We may rely on the instructions of any owner or admin. You must ensure that the people you give these roles to are authorised to act for you.

2.3 Seats

A Seat is everyone who can sign in to your Workspace, including people you have invited who have not yet joined. When you add or remove people, the Seat count changes and your bill follows, as described in section 9.2. An invitation that is not accepted expires after seven days and stops counting then.

2.4 Single sign-on and allowed domains

You can register an OpenID Connect provider for your email domain and require Authorised Users on that domain to sign in through it. You are responsible for your identity provider and for who it lets in. If your Workspace requires single sign-on, Outside Agents connected by your users are held to the same rule.

2.5 Your Authorised Users

You must make sure that your Authorised Users comply with the Agreement, and that they know their use of the Services, including Customer Content and Agent activity, may be visible to your owners and admins and may be reviewed by us as described in section 13.4.

3. Using the Services

3.1 Your right to use

Subject to the Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable right, during the term of the Agreement, for your Authorised Users to access and use the Services for your internal business purposes.

3.2 Restrictions

You must not, and must not allow anyone else to:

  • copy, modify, translate, adapt or create derivative works of the Services, except where the Services are designed for you to build your own apps and automations;
  • reverse engineer, decompile or attempt to discover the source code, models, prompts or system instructions of the Services, except to the extent the law allows this and we cannot exclude it;
  • rent, lease, sell, sublicense, resell or provide the Services to third parties, or use them to run a service bureau or a competing product;
  • access the Services by any means other than the interfaces we provide, including the app, the MCP server and the inbox API, or bypass any limit, approval step or security control;
  • use the Services in breach of the AUP or any law;
  • remove or obscure any proprietary notice; or
  • use the Services to build a product that competes with them, or to benchmark them for publication without our written consent.

3.3 Usage limits

The Services have limits that keep them working for everyone, such as sending limits for sequences, the size of imports and chat attachments, the number of tables and rows an app may hold, how long app runs are kept, and rate limits on sign-in and the MCP server. Current limits are shown in the Services. We may change them on reasonable notice, and sooner where needed for security or stability.

4. Customer Content and your responsibilities

4.1 Ownership

As between you and us, you own your Input. Subject to the rights of Third-Party AI Providers and to the extent the law allows, you own the Output generated for you, except that we keep all rights in the system prompts, instructions, agent configurations, skills, templates, workflow logic, app runtime, component library and other parts of the Services that are used to produce it (“app0 Components”). To the extent we obtain any rights in your Output other than app0 Components, we assign them to you. Output may resemble output produced for other customers where it draws on common sources, public data or standard practices, and you waive any claim against us on that basis.

4.2 Licence to us

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and otherwise use Customer Content as needed to provide, secure, support and improve the Services, to carry out your instructions, to comply with law and to exercise our rights under the Agreement. This includes sending Customer Content to Third-Party AI Providers and the other sub-processors listed in the DPA.

4.3 Your responsibility for Input

You are responsible for your Input and for how you use the Services. You confirm that:

  • you have all rights, permissions, notices and lawful bases needed to upload, connect and process your Input in the Services, including the personal data of your customers, prospects and contacts;
  • your Input does not infringe anyone’s rights, is not unlawful and does not contain malicious code;
  • you will not load special category data, criminal offence data, payment card data or children’s data into the Services unless you have a lawful basis and appropriate safeguards; and
  • you have authority to connect each Connected Service and to let the Services read from and act in it.

4.4 Outreach and email

The Services let you send email sequences from your own mailbox, let Agents draft messages, and let assistants send email from their own addresses once you approve each message. You are the sender of every email and message sent through the Services, and you are solely responsible for it. In particular you must:

  • have a lawful basis under the UK GDPR and, where it applies, the EU GDPR for the contact data you use, and comply with the Privacy and Electronic Communications (EC Directive) Regulations 2003 (“PECR”), the ePrivacy rules of each country you send to, the CAN-SPAM Act where you email the United States, and every other marketing law that applies to you;
  • identify yourself honestly in every message, use a real reply address, and never impersonate another person or organisation;
  • include a working unsubscribe method in marketing email, honour unsubscribes and suppressions promptly, and keep your own suppression lists up to date;
  • not send unsolicited bulk email, and not send to lists you have bought or scraped unless you have a lawful basis to do so;
  • stay within the sending limits in the Services and the limits of your mailbox provider; and
  • review every message, sequence step and Agent draft before it is sent.

We may pause sequences, inboxes or addresses that attract complaints, bounces or spam reports, or that appear to breach this section, and we may do so without notice where needed to protect deliverability, other customers or our providers.

4.5 Acceptable use

You must comply with the AUP, which is part of the Agreement. We may update the AUP from time to time as described in section 20. You must cooperate with reasonable requests for information so we can check compliance with the AUP, including to verify your identity and your use of the Services.

5. AI Features and Agents

5.1 AI output may be wrong

AI Features generate Output using probabilistic models. Output can be inaccurate, incomplete, out of date, biased or inappropriate, and may describe a person or company wrongly. You must review Output before you rely on it, send it, publish it, price a proposal on it or store it as fact. Output is not legal, financial, tax or other professional advice. Where the Services show evidence, sources or confidence for a fact, that is an aid to your review and not a guarantee.

5.2 Agents act on your instructions

Agents can read your Workspace, research the web, draft messages and proposals, change records, enrol people in sequences, run shell commands in a sandbox, call Connected Services and run on a schedule. The Services include approval steps so that changes, sends and paid actions wait for a person unless you turn those steps off. You decide which apps, tools and connections each Agent may use, and what it may do without asking. Everything an Agent does in your Workspace, or in a Connected Service on your behalf, is treated as done by you. You are responsible for the instructions, memory, approval settings and limits you give Agents, and for reviewing what they do.

5.3 Third-Party AI Providers

The Services do not run their own large language models. We send AI requests through an AI routing provider, Vercel AI Gateway, which passes each request to the Third-Party AI Provider that serves the model chosen for that feature. Admins may choose other models for some features from the catalogue the Services offer, in which case the provider of that model receives the request. The current providers are listed in the DPA. Their terms and policies apply to the models they serve, and you must not use the Services in a way that breaches them.

5.4 Training and retention

We do not use Customer Content to train, fine-tune or improve our own or anyone else’s AI models, and we do not allow Third-Party AI Providers to do so. We select models whose providers are identified by our AI routing provider as not using requests to train their models. “No training” and “zero data retention” are different controls. Unless we state otherwise for a feature, we do not request zero data retention, and Third-Party AI Providers may keep requests and responses for a limited period for abuse monitoring, security, debugging and legal compliance under their own terms.

5.5 Changes to models and providers

We may add, replace, update or remove models, endpoints, routing providers and Third-Party AI Providers from time to time to maintain or improve quality, availability, safety, cost or compliance. We do not have to name each model change to you. We will give notice of a new or replaced Third-Party AI Provider that processes personal data as set out in the DPA. If you disagree with a change, your remedy is to stop using the affected feature or to cancel under section 11.

5.6 Automated decisions and transparency

You must not use the Services to make decisions about individuals that produce legal or similarly significant effects for them based solely on automated processing, unless the law allows it and you provide the required safeguards. Where the law requires you to tell people that they are dealing with AI, or that content was generated by AI, you must do so.

6. Connected Services, integrations and Outside Agents

6.1 Connected Services generally

Connected Services are provided by third parties under their own terms, which you must comply with. When you connect one, the Services can read data from it and, within the permissions you grant, act in it on your instructions and the instructions of your Agents. We are not responsible for Connected Services, their availability, their data or what they do with it. You can disconnect a Connected Service at any time in the Services, and you should remove the permission in the Connected Service too.

6.2 Microsoft 365 and Google Workspace

Authorised Users can connect their Outlook mailbox and calendar through Microsoft Graph and, once we switch it on, their Gmail and Google Calendar. Mail sync is forward-only from the time of connection and reads the Inbox and Sent Items so that conversations, contacts and companies appear in your Workspace. Sending for sequences needs a separate permission that each person grants, and Agents never receive it. Assistants can read Microsoft Teams chats and channels a person gives them access to, and can chat with a person in Teams, but cannot send Teams messages themselves. Our use of Google data is subject to the Google API Services User Data Policy, including its Limited Use requirements, as set out in the Privacy Policy.

6.3 Composio, Treg and Firecrawl

Assistants and apps can use third-party applications through Composio, which holds the credentials you give it, and can use outside data and tools through Treg, which we pay for from your Included Usage and AI Credit at the cost Treg reports. If you save your own Firecrawl key for website enrichment, the Services use it under your Firecrawl agreement. Each call to these services runs under the approval rules you set, and actions that change or send something always ask unless you turn asking off.

6.4 The MCP server and Outside Agents

Authorised Users can connect Outside Agents to your Workspace through our MCP server. An Outside Agent signs in as the person who connects it, chooses a Workspace, and gets only the access that person approves and that person already has. We are not responsible for Outside Agents, for the content they send to or receive from the Services, or for what their providers do with it. Everything an Outside Agent does is treated as done by the person who connected it. You can disconnect an Outside Agent at any time in Settings. We may refuse, limit or disconnect an Outside Agent to protect the Services or comply with law.

6.5 Assistant email addresses

Each assistant can have its own email address on a domain we provide, or on a domain you own and verify. Addresses on our domain remain ours and may be reserved after you stop using them. Incoming mail is checked for spam, viruses and sender authentication, and mail that fails is held and then deleted. Nothing is sent from an assistant address until a person checks and approves it. You must not use assistant addresses to sign up for other services, to receive mail you have no right to receive, or for bulk sending. You must only register domains you own or control.

6.6 Public APIs and webhooks

Where the Services give you an API key, a webhook address or a public link, you are responsible for keeping it secret, for the systems you point at it and for the data you send through it. We may rotate or revoke keys and links for security.

7. The meeting notetaker

7.1 What it does

When an Authorised User asks, an audio-only bot named “app0 notetaker” joins a Google Meet, Microsoft Teams or Zoom call, keeps a speaker-labelled transcript and, after the call, produces notes and suggested actions. The bot is visible to participants as a named attendee. The transcript and notes are stored in your Workspace.

Recording and transcribing calls is regulated, and the rules differ by country and sometimes require every participant’s consent. You are solely responsible for deciding whether you may record each call, for telling every participant that the call is being transcribed by app0 before it starts, for obtaining any consent the law or the meeting host requires, and for complying with the terms of the meeting platform. You must not send the notetaker into a call you are not entitled to record, and you must remove it when a participant objects. You indemnify us under section 18.1 for claims arising from recordings you make.

8. Apps you build and automations

8.1 Your apps

The Services let you build small apps with their own tables, server actions, schedules, record triggers and webhooks, using the Builder. Your apps are Customer Content. We provide the runtime, the component library and the sandbox, which remain app0 Components. You are responsible for what your apps do, including every change they make to your data, every call they make to a Connected Service, and everything that happens when a schedule, trigger or webhook runs unattended as the person who built the app.

8.2 Limits and review

Apps run inside limits shown in the Services. Before an app version with triggers or tool calls goes live, the Services show the builder a review of what it can do, and the builder’s approval allows those actions to run without a person present. We may disable an app that breaks the Services, breaches the AUP or appears unsafe.

9. Fees, billing and AI Credit

9.1 Prices

The prices for the Services are shown at /pricing or in your Order. Seats cost £50 per Seat per month. Each paid Seat month includes $10 of usage for AI Features and company enrichment (“Included Usage”). Beyond that, AI Features and company enrichment are paid for with AI Credit at the cost each step actually incurs from our providers, with no markup. All prices exclude VAT and other taxes, which are added where they apply.

9.2 Seats and monthly billing

Seats are billed monthly in advance through Stripe, our payment provider. Your bill is based on the number of Seats in your Workspace. We check the Seat count regularly and adjust your subscription, so a Seat added part way through a billing period is charged a prorated amount for the rest of that period and a Seat removed part way through is credited on a prorated basis against your next bill. Your monthly Seat bill comes with a Stripe invoice, which you can find under Manage billing in Settings, Billing, together with your card, company details and VAT number.

9.3 Free Month

The first time a company starts seat billing, the subscription begins with a free period of 30 days (the “Free Month”). A card is required at checkout. The Free Month converts to a paid subscription automatically when it ends, and your first Seat payment is taken then, unless you cancel before it ends. Stripe will email you a reminder before the Free Month ends, and the Services show the date it ends. The Free Month is available once per company, which we determine by email domain and other reasonable checks. We may change or withdraw the Free Month for new subscriptions at any time.

9.4 Discount codes

You can enter a discount code on the Stripe checkout page when you add your card, or later in Settings, Billing. A subscription can carry one discount code at a time. Each code has its own terms, such as an end date, a number of uses or the customers it is for, and we may limit the number of codes you can try. We may withdraw a code that was issued in error or used in breach of its terms.

9.5 AI Credit

AI Features and company enrichment draw first on Included Usage and then on AI Credit, which is prepaid in US dollars because our AI providers charge us in dollars. Included Usage is added when a Seat payment for a billing month is made, is not added during the Free Month, expires at the end of that billing month, cannot be carried over, and has no cash value. Seats added part way through a billing month get Included Usage from their next monthly payment. Every new Workspace starts with a small amount of free credit, once per company, which has no cash value. You can buy credit from $10 at a time (“Top-ups”). Every Top-up, including automatic ones, comes with a Stripe invoice. The Services show your balance, what each feature has cost and a ledger of credit movements. Balances and usage shown in the Services may be adjusted to correct errors or to reflect costs our providers report late.

9.6 Automatic Top-ups

You can turn on automatic Top-ups by choosing a low point, an amount to add and a monthly limit. When your available credit falls below the low point, we add that amount of credit once, up to the monthly limit, and charge it, plus any VAT or other tax that applies under section 9.10, first against any US dollar credit we hold for you in Stripe and then to your saved card. The monthly limit counts the credit added, not the tax. Each payment comes with a Stripe invoice. You authorise us and Stripe to charge the card you have saved for these payments without you being present. If a payment fails, automatic Top-ups pause until you update your card, and we tell you in the Services.

9.7 Running out of credit

When your Included Usage and available credit are both used up, work that uses AI or enrichment waits until you top up or your Included Usage is renewed: research, drafting, assistant chats, routines, GEO runs, website reads, company lookups and outside data. Everything else keeps working, including your companies, contacts, deals, proposals, tasks, sequences and synced email.

9.8 Credit terms

AI Credit is a prepaid balance for use within the Services. It is not money, stored value or electronic money, cannot be withdrawn as cash, carries no interest, and cannot be transferred to another Workspace or person or sold. Credit stays on your account for as long as your account is open. AI Credit is non-refundable except where the law requires a refund or where section 11.5 applies. Free or promotional credit may expire or be withdrawn as stated when it is given.

9.9 Payment

You authorise us and Stripe to charge your chosen payment method for all Fees when they fall due. Where we invoice you instead, you must pay within 30 days of the invoice date without set-off or deduction. We may charge interest on late payments at 4% a year above the Bank of England base rate from the due date until payment, and recover reasonable costs of collection. Your card issuer may apply its own exchange rate and fees to payments in US dollars.

9.10 Taxes

Fees exclude VAT and all other taxes, duties and levies. Where VAT or a similar tax applies, we or Stripe add it to your bill based on the billing details you give. You must give accurate billing details, including your VAT number where you have one, and you are responsible for any tax that arises because they were wrong.

9.11 Refunds

Except as expressly stated in these Terms or required by law, all Fees are non-refundable. We do not refund part periods, unused Seats, unused AI Credit, or periods during which you did not use the Services.

9.12 Changes to prices

We may change our prices and the way AI Credit is charged. We will give you at least 30 days’ notice by email or in the Services before a change to recurring Fees takes effect, and the change applies from your next billing period after that. Changes in what our AI providers charge are passed through at cost as they occur, because AI Credit is charged at cost. If you do not accept a price change, you may cancel under section 11.2 before it takes effect.

9.13 Non-payment

If a Seat payment fails, Stripe will retry it over a period of about two weeks and email you so that you can update your card. If payment still fails at the end of that period, we may end your subscription and place your Workspace in Read-only mode under section 10.2. We may also suspend AI Features, require another payment method or take any other step in section 10. Before we reactivate a Workspace after non-payment, we may ask you to pay anything still owed.

10. Suspension and Read-only mode

10.1 Suspension

We may suspend or restrict access to all or part of the Services, for all or some Authorised Users, if:

  • you do not pay Fees when due, after the retries and notice in section 9.13;
  • we reasonably believe you or an Authorised User has breached the AUP or section 4;
  • your use threatens the security, integrity or deliverability of the Services, other customers or our providers;
  • a Connected Service, Outside Agent or app under your control is causing harm; or
  • the law or a competent authority requires it.

Where practicable we will tell you first and give you a chance to fix the problem, and we will lift the suspension once it is resolved. We are not liable for loss caused by a suspension made in line with this section.

10.2 Read-only mode

A Workspace in “Read-only mode” can still be signed into, viewed and exported as section 12.1 describes, but data cannot be added or changed, Agents do not run, nothing is sent, apps and automations do not run, and Outside Agents can only read. Unsubscribe links in emails you have already sent keep working. The Services show a Workspace in Read-only mode as paused. We may place a Workspace in Read-only mode when the subscription ends for non-payment, when you cancel and the final billing period ends, when a Workspace still has no subscription 30 days after it was created, when the Agreement ends, or while we investigate a serious breach.

11. Term, cancellation and termination

11.1 Term

The Agreement starts when you first accept these Terms or use the Services and continues until it ends under this section.

11.2 Cancelling

You can cancel your subscription at any time in the Stripe billing portal, reached from Settings, Billing. Cancelling takes effect at the end of the current billing period, and you can keep using the Services until then. We do not refund part periods. If you cancel during the Free Month, nothing is charged. After cancellation we may place your Workspace in Read-only mode or end the Agreement under section 11.4.

11.3 Termination by either party

Either party may end the Agreement on written notice if the other commits a material breach and does not fix it within 30 days of being asked in writing, or if the other becomes insolvent, enters administration or liquidation, or stops trading.

11.4 Termination by us

We may end the Agreement, or stop providing the Services, immediately on notice if you breach the AUP or section 4 in a serious or repeated way, if providing the Services to you becomes unlawful, or if your subscription has ended and has not been restarted. We may also end the Agreement for convenience on at least 60 days’ notice, in which case section 11.5 applies.

11.5 Refund where we end for convenience

If we end the Agreement under section 11.4 for convenience, or withdraw the Services entirely, we will refund the prepaid Seat Fees for the unused part of your billing period and any unused AI Credit you paid for. This is the only situation in which AI Credit is refunded, other than where the law requires it.

11.6 Effect of ending

When the Agreement ends, your right to use the Services ends, all Fees owed become payable, section 12 applies to your data, and the sections of the Agreement that by their nature should continue do so, including sections 4.1, 4.3, 9, 12, 13, 14, 17, 18, 19 and 21.

12. Your data after the end

12.1 Export

While your Workspace is active you can export the data the Services offer an export for, such as deals, revenue, GEO results, proposals, app tables and assistant memory, and in Read-only mode all of these except assistant memory. On written request while the Agreement lasts or within the Retention Period, we will give you a copy of the Customer Content we hold, including companies and contacts, in a commonly used format such as CSV or JSON, where reasonably practicable.

12.2 Retention and deletion

We keep your Workspace and Customer Content for 90 days after the Agreement ends (the “Retention Period”), so that you can export it or reactivate. After the Retention Period we delete the Workspace and its Customer Content, including copies held by our sub-processors, within the period set out in the DPA, except for data we must keep by law, billing records, and copies in backups, which are deleted in the ordinary course of backup rotation. You can ask us to delete sooner by emailing legal@askyori.ai.

13. Intellectual property, feedback and usage data

13.1 Our rights

We and our licensors own the Services, app0 Components and all improvements to them, including all software, designs, documentation, pixel art, the app0 name and logo, and all related intellectual property rights. Nothing in the Agreement transfers them to you. You must not use our name or marks without our written consent, except to describe your use of the Services truthfully.

13.2 Feedback

If you give us ideas, suggestions or other feedback about the Services, including through the feedback tool, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation to you.

13.3 Usage Data

We collect data about how the Services are used, such as event records, feature use, performance, error details, model, token, cost and credit usage, sub-processor call records and other operational metadata (“Usage Data”). Usage Data does not include the substance of Customer Content. We own Usage Data and may use it for any lawful purpose, including to operate, secure, bill, improve and develop the Services, provided that we do not disclose Usage Data that identifies you to third parties other than our service providers.

13.4 Access to Customer Content

We may access and review Customer Content where reasonably necessary to provide, support, secure, bill, debug and improve the Services, to investigate suspected misuse or security incidents, to respond to your requests, or to comply with law. Access is limited to personnel who need it and is subject to the DPA and our confidentiality obligations.

14. Confidentiality

14.1 What is confidential

“Confidential Information” means information disclosed by one party to the other under the Agreement that is marked confidential or that a reasonable person would consider confidential, including Customer Content, our pricing offers, and non-public information about the Services.

14.2 Obligations

Each party must keep the other’s Confidential Information confidential, use it only for the Agreement, protect it with at least reasonable care, and disclose it only to its personnel, advisers and, in our case, sub-processors who need it and are bound by confidentiality obligations at least as protective as these. These obligations continue for five years after the Agreement ends, and indefinitely for personal data and trade secrets.

14.3 Exceptions

Confidential Information does not include information that is or becomes public without breach, was already lawfully known to the recipient, is received from a third party without restriction, or is developed independently. A party may disclose Confidential Information where required by law or a court, giving the other party prompt notice where lawful and reasonable help to limit the disclosure.

15. Data protection

The DPA is part of the Agreement and governs our processing of personal data in Customer Content on your behalf. You are the controller of that data and we are your processor. We are the controller of account, billing, security and website data, as described in the Privacy Policy. Each party must comply with the data protection laws that apply to it. We may update the DPA to reflect changes in law or in our sub-processors as described in it.

16. Availability, support and changes

16.1 Availability

We use reasonable efforts to keep the Services available at all times, except during planned maintenance, urgent maintenance and events outside our reasonable control. We try to give notice of planned maintenance that is likely to cause significant disruption. Unless your Order says otherwise, we do not promise any particular level of availability, response time or support, and the Services may be interrupted. Some features depend on Third-Party AI Providers, Connected Services and other suppliers whose availability we do not control.

16.2 Support

You can ask for help through the feedback tool in the Services or by emailing legal@askyori.ai. We use reasonable efforts to respond within a reasonable time during UK business hours. Feedback you send through the Services, including any screenshot or recording you attach, is filed in our issue tracker.

16.3 Changes to the Services

We may add, change or remove features from time to time, including to improve the Services, to respond to changes in law, technology or third-party services, or for security. We will not materially reduce the core functionality of the paid Services during a billing period you have paid for, unless required by law, a supplier or security. Where a change materially and adversely affects you, we will give reasonable advance notice where practicable, and you may cancel under section 11.2.

16.4 Free, beta and experimental features

We may offer features free of charge, or label features as beta, preview, experimental or similar (“Beta Features”). Free features and Beta Features are provided as is, may be changed or withdrawn at any time, may be incomplete or unreliable, and are excluded from any availability, support or warranty commitment. Our liability for them is limited to the fullest extent the law allows.

17. Warranties and disclaimers

17.1 Mutual warranties

Each party warrants that it has the power and authority to enter into the Agreement and that doing so does not breach any other obligation it has.

17.2 Our warranty

We warrant that we will provide the Services with reasonable skill and care. If we do not, your remedy is for us to fix the problem within a reasonable time or, if we cannot, for you to cancel the affected Services and receive a refund of prepaid Seat Fees for the period after cancellation.

17.3 Disclaimers

Except as expressly set out in the Agreement, the Services are provided as is, and all warranties, conditions and terms implied by law, including as to satisfactory quality, fitness for purpose and non-infringement, are excluded to the fullest extent the law allows. We do not warrant that the Services will be uninterrupted, error-free or secure, that Output will be accurate or fit for any purpose, that enrichment or research will find or verify any fact, that emails will be delivered, that recordings or transcripts will be complete, or that Connected Services or Outside Agents will work with the Services.

18. Indemnities

18.1 By you

You will defend and indemnify us, our affiliates and our and their directors, officers, employees and contractors against all losses, damages, costs and expenses, including reasonable legal fees, arising from any third-party claim or regulatory action relating to your Input, your outreach and email, your meeting recordings, your apps and automations, your Connected Services and Outside Agents, your use of Output, or your breach of the Agreement or the law.

18.2 By us

We will defend and indemnify you against all losses, damages, costs and expenses, including reasonable legal fees, awarded by a court or agreed in settlement for a third-party claim that the Services, as provided by us and used in line with the Agreement, infringe a UK intellectual property right. This does not cover claims arising from Customer Content, Output, Connected Services, Outside Agents, Third-Party AI Providers, your apps, combinations with things we did not supply, modifications we did not make, or use after we told you to stop. If such a claim is made or likely, we may obtain the right for you to keep using the Services, change them so they do not infringe, or end the affected Services and refund prepaid Fees for the unused period.

18.3 Procedure

The indemnified party must tell the other promptly of the claim, give it sole control of the defence and settlement (though no settlement may admit fault or impose obligations on the indemnified party without its consent), and give reasonable help at the indemnifying party’s cost.

19. Limitation of liability

19.1 What we do not exclude

Nothing in the Agreement limits or excludes either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, your obligation to pay Fees, or any other liability that cannot be limited or excluded by law.

19.2 Excluded losses

Subject to section 19.1, neither party is liable under or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, loss or corruption of data (except as section 19.4 provides), loss arising from Output or from the actions of Agents or Outside Agents, or any indirect or consequential loss, even if foreseeable.

19.3 Cap

Subject to section 19.1, each party’s total liability under or in connection with the Agreement in any 12-month period is limited to the Fees you paid to us under the Agreement in the 12 months before the event giving rise to the claim, or £100 if that is greater.

19.4 Data

Our only obligations in relation to Customer Content are those in the Agreement, including the DPA. You should keep your own copies of data that is important to you, using the exports in the Services or by asking us for a copy under section 12.1.

19.5 Reasonableness

The parties agree that these limits are reasonable given the price of the Services, that the Services depend on third parties and on AI models that may be wrong, and that you are in control of your Input, your Agents and your outreach.

20. Changes to these Terms

We may update these Terms, the AUP and the DPA from time to time. For changes that materially and adversely affect your rights or obligations, we will give you at least 30 days’ notice by email to your Workspace owners or admins or by a notice in the Services, and we will update the date at the top of the document. Other changes, including changes required by law or to add new features, take effect when published. If you do not accept a notified change, you may cancel under section 11.2 before it takes effect, and the previous version continues to apply until your cancellation takes effect. Continuing to use the Services after a change takes effect means you accept it. An Order we have signed can only be changed in writing by both parties.

21. General

21.1 Governing law and jurisdiction

The Agreement and any dispute or claim arising out of or in connection with it, including non-contractual disputes or claims, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek an injunction or enforce a judgment in any court.

21.2 Force majeure

Neither party is liable for failing or delaying to perform, other than a payment obligation, because of events outside its reasonable control, including failures of the internet, hosting providers, Third-Party AI Providers or Connected Services, strikes, power failures, epidemics, acts of government and natural disasters, provided it takes reasonable steps to mitigate the effect.

21.3 Assignment

You may not assign, transfer or subcontract the Agreement without our written consent, not to be unreasonably withheld. We may assign or transfer the Agreement to an affiliate or to a buyer of our business or of app0 on notice to you, and may subcontract our obligations, remaining responsible for them.

21.4 Notices

Notices to us must be sent by email to legal@askyori.ai. Notices to you may be sent by email to the addresses of your Workspace owners or admins, or shown in the Services. A notice sent by email is received when sent, unless the sender gets a failure message. Routine service messages may be sent in the Services.

21.5 Entire agreement

The Agreement is the entire agreement between the parties about its subject matter and replaces all earlier discussions and agreements. Each party confirms that it has not relied on any statement not set out in the Agreement. Nothing in this section limits liability for fraud.

21.6 Severance

If any part of the Agreement is found to be invalid or unenforceable, it is to be read down or removed to the extent necessary, and the rest of the Agreement continues in force.

21.7 Waiver

A failure or delay in exercising a right is not a waiver of it, and a single or partial exercise does not prevent further exercise.

21.8 Third-party rights

No one other than the parties, their permitted successors and assigns, and the indemnified persons named in section 18 has any right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.

21.9 Relationship

The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship.

21.10 Compliance with laws and sanctions

Each party must comply with the laws that apply to it in connection with the Agreement, including the Bribery Act 2010 and the Modern Slavery Act 2015. You confirm that neither you nor any Authorised User is subject to sanctions imposed by the United Kingdom, the European Union, the United States or any other jurisdiction that applies to us or our suppliers, and that you will not use the Services in breach of sanctions or export control law. We may suspend or end the Services immediately if you breach this section.

21.11 Publicity

We may name you as a customer and use your name and logo on our website and in marketing materials, following any brand guidelines you give us. You can withdraw this permission at any time by emailing legal@askyori.ai, and we will stop new uses within a reasonable time.

21.12 Electronic acceptance

The Agreement may be accepted electronically, including by clicking, by creating an account or by adding a card at checkout, and that acceptance has the same effect as a signature.

21.13 Order of precedence

If the documents that make up the Agreement conflict, they apply in this order: the DPA, for the processing of personal data; an Order signed by both parties, for the matters it expressly covers; these Terms; and then the AUP and any other policy referred to in these Terms.

21.14 Contact

Questions about these Terms can be sent to legal@askyori.ai.
